This End-User License Agreement ("EULA") is a legal agreement between you and AngelHQ ("we", "our", "us") governing your use of the AngelHQ software, website, hosted platform, and related features we make available to you (collectively, the "Software"). By accessing or using the Software, you agree to this EULA. If you do not agree, do not use the Software.
Important: This EULA grants you a limited right to use AngelHQ. It does not transfer ownership of the software, underlying models, workflows, or any AngelHQ intellectual property to you.
1. Licence Grant
Subject to your compliance with this EULA, our Terms of Service, and any applicable order or subscription terms, AngelHQ grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable licence to access and use the Software for your internal business purposes.
2. Scope of Use
You may use the Software only as made available by AngelHQ and only for lawful business activities. Your licence covers normal use of platform features such as CRM workflows, mailbox integrations, AI-assisted drafting, reporting, and automation that are included in your plan or otherwise enabled for your workspace.
3. Restrictions
You may not, and may not permit others to:
- Copy, modify, adapt, translate, or create derivative works of the Software except where expressly allowed by law.
- Reverse engineer, decompile, disassemble, or attempt to discover source code, models, prompts, or underlying logic of the Software.
- Sell, resell, lease, license, distribute, or provide access to the Software on a service bureau or white-label basis unless we expressly agree in writing.
- Bypass technical restrictions, access controls, usage limits, or security features.
- Use the Software to build or train a competing product or dataset.
- Use the Software in violation of law, third-party rights, anti-spam rules, or contractual obligations applicable to your data or communications.
4. Accounts and Workspace Responsibility
You are responsible for all use of the Software under your account or workspace, including actions taken by your employees, contractors, agents, and invited users. You must keep credentials secure and notify us promptly at support@angelhq.ai if you suspect unauthorised use.
5. Customer Data
As between you and AngelHQ, you retain ownership of the data, content, documents, emails, transcripts, and other materials you submit to or process through the Software ("Customer Data"). You grant AngelHQ the limited rights necessary to host, process, transmit, analyse, and display Customer Data solely to provide, secure, support, and improve the features you use.

6. Third-Party Services and Integrations
The Software may interoperate with third-party services such as email providers, CRM systems, communication tools, or mailbox integration partners including UniPile. Your use of those third-party services remains subject to their own terms and policies. AngelHQ is not responsible for third-party services or changes in their availability, APIs, or policies.
7. Updates and Changes
We may release fixes, updates, new features, or modifications to the Software at any time. Some updates may be applied automatically in hosted environments. We may also change, suspend, or discontinue specific features where reasonably necessary for security, legal compliance, product evolution, or third-party dependency changes.
8. Intellectual Property
AngelHQ and its licensors own all rights, title, and interest in and to the Software, including all software code, workflows, designs, trademarks, documentation, and related intellectual property, except for Customer Data. No rights are granted to you except the limited licence expressly stated in this EULA.
9. Feedback
If you provide suggestions, ideas, or feedback about the Software, you grant AngelHQ a worldwide, perpetual, irrevocable, royalty-free right to use and incorporate that feedback without restriction or obligation to you.
10. Term and Termination
This EULA begins when you first access or use the Software and continues until terminated. It terminates automatically if you breach this EULA or if your right to use the Software ends under the Terms of Service or applicable commercial terms. Upon termination, you must stop using the Software, and the licence granted to you ends immediately.
11. Disclaimer of Warranties
The Software is provided "as is" and "as available." To the maximum extent permitted by law, AngelHQ disclaims all warranties, express, implied, statutory, or otherwise, including implied warranties of merchantability, fitness for a particular purpose, title, non-infringement, and uninterrupted or error-free operation. AI-assisted outputs should be reviewed by a human before use or reliance.
12. Limitation of Liability
To the maximum extent permitted by law, AngelHQ will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenue, goodwill, data, or business interruption arising out of or related to this EULA or the Software. AngelHQ's aggregate liability arising out of or related to this EULA will not exceed the amounts you paid to AngelHQ for the Software in the 12 months before the event giving rise to the claim.
13. Relationship to Other Terms
This EULA supplements the Terms of Service. If there is a conflict between this EULA and the Terms of Service regarding software licensing and permitted use, this EULA controls for those issues only; otherwise, the Terms of Service control.
14. Changes to This EULA
We may update this EULA from time to time. If we make material changes, we will post the updated version on this page and update the effective date above. Continued use of the Software after the updated EULA becomes effective constitutes acceptance of the revised terms.
